Some companies allow some types of HK company registration services to be included in the public inspection if the company is being ordered to do so. Availability of Company’s Register for Public Inspection
The Registrar in regarding of Hong Kong company registration service must make the Companies Register available for HK company registration services like public inspection at all times to the public:
To ensure that the member of the public is dealing with:
- A company to which this clause applies, or its directors or other officers
- A director or other officers of a company connected with the administration of the company, or of its property.
- A person having ineligibility order issued by a court.
- A person who has possessed the property of such a company as mortgagee.
- A person who is supposed to be the provisional liquidator or
- Person appointed as the receiver of the property of such a company.
To establish the details of the company, its directors or officers, former directors (if any), details of any person mentioned in above points applies to a company falling within the definition of company. For the purposes of above discussion, the Registrar must start receiving the fee payable under the regulations and allow a person to inspect any information on the Companies Register in any form that the Registrar thinks well in accordance to the HK company registration services.
By any means, whether directly or indirectly, be fretful or take part in the promotion, formation or management of such a company.
Certification of true copy as evidence by the Registrar
A true copy or attested copy of any record by Registrar would be admitted in any proceeding in court. An address in a document record attested by Registrar must be considered authentic address.
Registrar may hold some information from public inspection
The Registrar possesses the rights not to disclose any information or address of the company directors or official addresses.
The Registrar may withhold from public inspection address of the applicant contained or address of the applicant’s location. Also, the number of the identity card or passport of the applicant. If a person’s address is withheld from public inspection, the Registrar must instead make available for public inspection an address contained in the person’s application as the person’s correspondence address. Application for the purposes may be made by any person.
If an address is required in a register of directors as the usual residential address and the correspondence address of a director within a period of 5 years specified, an application must not be made for the purposes in relation to the address during the period. If an address is not barred from being entered in a register of directors as the correspondence address of a director, or from being stated in a notice or return as the changed correspondence address of a director, during a period of 5 years, an application must not be made. An application to contain the information required by regulations be accompanied by the documents required by regulations accompanied by a fee prescribed by regulations.
The Financial Secretary may make policy:
- Providing for the information to be contained in an application made under above discussion:
- The correspondence address required for the purposes
- Any other information precise by the Registrar for such application;
- Providing for the documents to escort such an application, including any document particularly by the Registrar for such an application;
- Prescribed fees to accompany.
- On condition that for the powers of the Registrar to require additional documents and information to be provided to the Registrar for the purposes of seminal such an application.
The regulations may provide that the correspondence address required for the purpose, must not be a post office box number.
Constraint on use or expose of withheld information
The Registrar must not use or disclose withheld information other than:
- A withheld address for communicating with the director, reserve director or company secretary in question.
- A withheld identification number for communicating with the person in question.
The Registrar may use withheld information for the purpose of or in connection with the performance of the Registrar’s functions. The Registrar may, on application made, disclose withheld information to a person specified by regulations.
The Financial Secretary may make regulations, providing for the information to be contained in an application made for above discussion, or providing for the documents to accompany such an application including any additional documents and information to be provided to the Registrar for the purposes of seminal such an application specifying the persons to whom withheld information may be disclosed.
Disclosure under Court’s order
The Court may make an order for the disclosure by the Registrar of a withheld address if there is evidence that the service of documents at an address contained in an application. it is necessary or expedient for the withheld address to be disclosed in connection with the enforcement of an order or decree of a court, if the Court is satisfied then it is suitable to make the order.
The Court may make an order for the disclosure by the Registrar of a withheld identification number, if it is necessary or measure for the number to be disclosed in connection with the enforcement of an order or verdict of a court.
An order under the above two subsection may be made on the application of a creditor of the company in respect of which the document containing the withheld information is delivered to the Registrar for registration.
